This website, orxata.jewelry (the “Website”), is operated by LLC “INGENUEER”, identification code 46522003 (the “Company”, “we”, “us”, or “our”), trading under the Orxata Transforming Jewelry™ brand.
These Terms of Service (the “Terms”) govern your access to and use of the Website and the purchase of products offered through it.
By placing an order, you agree to these Terms and the policies referenced herein, subject to applicable consumer protection laws. Your use of the Website is also subject to these Terms where applicable.
Please read these Terms carefully before using the Website or placing an order.
1. General Conditions
The Website offers jewelry, accessories, gift certificates, and related products.
By placing an order, you confirm that you are legally capable of entering into a binding purchase agreement under the laws applicable to you.
You agree to provide accurate, complete, and up-to-date information when placing an order or creating an account.
We reserve the right to refuse or cancel orders where reasonably necessary, including in cases of suspected fraud, incorrect information, product unavailability, or violations of these Terms, subject to applicable law and any purchase agreement already concluded.
You may not use the Website or its content for unlawful purposes or in any manner that infringes the rights of the Company or third parties.
2. Products and Product Information
We make reasonable efforts to ensure that product descriptions, photographs, specifications, and prices are accurate.
However, slight variations in appearance, color, dimensions, or weight may occur due to screen settings, lighting, the characteristics of precious metals, and the handmade nature of our jewelry.
Such variations do not affect mandatory rights relating to product conformity.
Product availability may change without prior notice.
We reserve the right to modify or discontinue products, collections, or product specifications, provided that confirmed orders are fulfilled in accordance with the agreed terms or otherwise handled as required by law.
3. Prices, Taxes, and Import Duties
Product prices are displayed according to the market selected on the Website.
Ukraine
Prices displayed for customers in Ukraine include applicable taxes. Customers are not required to pay import duties or import taxes upon domestic delivery.
European Union
Prices displayed for customers in the European Union include applicable taxes and import duties. Customers are not required to pay additional import duties or taxes upon delivery.
United States
Prices displayed for customers in the United States include applicable taxes and import duties. Customers are not required to pay additional import duties or taxes upon delivery.
Other Countries
For customers outside Ukraine, the European Union, and the United States, displayed prices do not necessarily include import duties, customs fees, or taxes imposed by the destination country.
Such charges, if applicable, are the customer’s responsibility and may be collected by the carrier or customs authorities upon delivery.
General Pricing Conditions
Any applicable shipping charges are displayed at checkout before the order is submitted.
We reserve the right to change product prices at any time. Price changes do not affect orders that have already been accepted.
In the event of an obvious pricing or technical error, we may contact the customer to confirm the correct price or, where permitted by law, cancel the affected order and refund any payment received.
4. Orders and Contract Formation
By placing an order through the Website, you submit an offer to purchase the selected products under these Terms.
After submitting an order, you will receive an automated electronic acknowledgment confirming that your order has been received.
An automated order acknowledgment does not constitute acceptance of the order.
All orders are subject to review and confirmation by our customer service team, including verification of product availability, order details, and payment conditions.
A binding purchase agreement is formed when we expressly confirm acceptance of your order.
We reserve the right to reject an order before acceptance for legitimate reasons, including product unavailability, payment issues, suspected fraud, or errors in product information.
If payment has already been received for an order that we cannot accept, the payment will be refunded.
Once an order has been accepted, cancellation or modification is subject to the agreed terms of sale, our Return and Refund Policy, and mandatory consumer protection laws.
5. Payments
Available payment methods are displayed at checkout.
Payments are processed through authorized third-party payment service providers.
We do not store complete payment card details on our own servers.
Orders are processed after the required payment or prepayment has been received.
14K Gold Jewelry
14K gold jewelry is generally made to order.
Production begins after receipt of the required prepayment, which may be 50% or 100% of the purchase price, as specified at checkout or otherwise agreed with the customer.
If a 50% prepayment is made, the remaining 50% must be paid before dispatch.
Cash on Delivery
Cash on delivery may be available for eligible orders within Ukraine, subject to the conditions displayed at checkout.
We may require partial or full prepayment where indicated before the order is confirmed.
6. Shipping and Delivery
We ship orders from Ukraine to domestic and international destinations.
Estimated preparation and delivery times, available shipping methods, and applicable shipping charges are described in our Shipping Policy.
Unless otherwise stated:
- Sterling silver jewelry is dispatched within approximately 5 business days after order confirmation and receipt of any required payment.
- Made-to-order 14K gold jewelry is dispatched within approximately 10 business days after receipt of the required prepayment, provided that any outstanding balance is paid before dispatch.
Delivery times are estimates and may vary due to customs procedures, carrier operations, public holidays, or circumstances beyond our reasonable control.
We are not responsible for delays caused solely by third-party carriers or customs authorities where such delays are beyond our control, without prejudice to mandatory consumer rights and our obligations under the purchase agreement.
Customers are responsible for providing accurate and complete delivery information.
Risk of loss or damage generally passes to the consumer upon physical receipt of the goods by the consumer or a person designated by them, subject to applicable law.

7. Returns, Exchanges, and Refunds
Returns, exchanges, and refunds are governed by our Return and Refund Policy.
Our voluntary return conditions include:
Sterling Silver Jewelry
Eligible sterling silver jewelry may be returned for a refund or exchanged within 3 calendar days of delivery, subject to the conditions specified in our Return and Refund Policy.
14K Gold Jewelry
14K gold jewelry is not eligible for voluntary refunds or exchanges.
Returns for store credit may be accepted at our discretion and require prior approval.
Archive Sale
Items purchased from the Archive Sale may be returned within 3 calendar days of delivery for store credit only, subject to the applicable return conditions.
Custom-Made and Personalized Jewelry
Custom-made and personalized jewelry is not eligible for voluntary returns or exchanges.
These voluntary conditions do not affect mandatory consumer rights under applicable law, including statutory withdrawal rights where applicable.

8. Gift Cards and Gift Certificates
Orxata Transforming Jewelry offers physical and electronic gift cards and gift certificates (collectively, “Gift Certificates”).
A Gift Certificate represents an advance payment toward the future purchase of jewelry or other eligible products offered by Orxata Transforming Jewelry.
The purchase of a Gift Certificate constitutes an advance payment for future goods. The holder may apply its value toward the purchase price of eligible products available at orxata.jewelry.
Gift Certificates are not intended to function as general-purpose payment instruments, electronic money, or financial services.
The following conditions apply:
- Gift Certificates are valid for 24 months from the date of purchase, unless a longer validity period is required by applicable law.
- Gift Certificates may be redeemed for eligible products available at orxata.jewelry.
- Gift Certificates may be combined with promotional discounts, discount codes, and other eligible special offers.
- If the purchase amount exceeds the available Gift Certificate balance, the difference must be paid using another accepted payment method.
- If the purchase amount is lower than the available balance, the remaining balance may be used for subsequent purchases during the validity period.
- Gift Certificates are not redeemable for cash and are non-refundable, except where required by applicable law.
- Gift Certificates may not be resold or used for unauthorized commercial purposes.
- We reserve the right to refuse redemption of Gift Certificates reasonably suspected of being obtained or used fraudulently, subject to applicable law.
The purchase and redemption of Gift Certificates are subject to applicable consumer protection and tax laws.
Nothing in these Terms limits mandatory statutory rights.
9. Loyalty Program
Orxata Transforming Jewelry operates a loyalty program that allows eligible customers to earn and redeem loyalty points on qualifying purchases.
Loyalty points may be redeemed toward the purchase of eligible products, subject to the following conditions:
- Loyalty points may cover up to 10% of the total value of eligible products in an order, excluding shipping charges.
- The 10% limit is calculated on the value of eligible products after promotional discounts have been applied, but before deducting any Gift Certificate balance.
- Loyalty points may be combined with promotional discounts, discount codes, and Gift Certificates.
- Loyalty points have no cash value and cannot be exchanged for money or transferred to another customer.
- Points are earned, redeemed, and expire in accordance with the applicable Loyalty Program rules.
- We reserve the right to modify or discontinue the Loyalty Program, subject to applicable law and without unlawfully affecting customers’ accrued rights.
- We may cancel points obtained through fraud, abuse, or transactions that are subsequently canceled or refunded, where permitted by law.

10. Product Warranty and After-Sales Service
We provide the following commercial warranties and after-sales benefits:
Sterling Silver Jewelry
A 6-month commercial warranty covering manufacturing defects under normal conditions of use.
14K Gold Jewelry
A commercial warranty covering manufacturing defects for the lifetime of the Orxata Transforming Jewelry brand.
Complimentary Replating
One complimentary replating service is available within 12 months of purchase for eligible plated jewelry.
The customer is responsible for shipping costs to and from our service location when using this complimentary service.
Commercial warranties do not cover damage caused by improper use, accidental damage, unauthorized modifications, or ordinary wear and tear, unless otherwise required by law.
The terms of voluntary after-sales services do not affect the customer’s statutory rights. Where the law requires us to bear the costs of remedying defective or non-conforming goods, the customer will not be charged those costs.
These commercial warranties are provided in addition to, and do not limit, any statutory rights relating to defective or non-conforming goods.

11. Intellectual Property
All content on the Website, including text, photographs, videos, product designs, illustrations, graphics, logos, trademarks, and other materials, is owned by the Company, licensed to the Company, or used with the permission of the relevant rights holders.
The Orxata Transforming Jewelry™ brand name and associated branding are protected by applicable intellectual property laws.
Certain jewelry designs and technical solutions may also be protected by registered intellectual property rights.
You may not reproduce, distribute, modify, commercially exploit, or otherwise use Website content or protected designs without prior written authorization from the relevant rights holder, except as permitted by law.
12. Website Use and Third-Party Services
You agree not to interfere with the operation or security of the Website, attempt unauthorized access, or use automated tools in a manner that disrupts its functionality.
The Website is hosted on Shopify and may integrate third-party payment, shipping, analytics, communication, or other services.
We are not responsible for the independent content, policies, or practices of third-party websites or services that are not under our control.
Your use of third-party services may be subject to their own terms and policies.

We remain responsible for fulfilling our contractual and statutory obligations.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or restricted, including mandatory consumer rights.

These Terms and purchases made through the Website are governed by the laws of Ukraine.
This choice of law does not deprive consumers of mandatory protections afforded by the laws of their country of habitual residence where such protections apply.
If a dispute arises, we encourage customers to contact us first at clientcare@orxata.jewelry so that we can attempt to resolve the matter directly.
Any unresolved dispute will be subject to the jurisdiction of the competent courts in accordance with applicable law.
Nothing in this section restricts any mandatory consumer rights concerning jurisdiction or access to legal remedies.

We reserve the right to update or modify these Terms to reflect changes in our business operations, services, or applicable legal requirements.
The current version will be published on the Website with an updated revision date.
Changes will not retroactively alter the terms of purchase agreements already concluded, except where permitted by law or agreed with the customer.
Continued use of the Website after publication of updated Terms constitutes acceptance of the revised terms to the extent permitted by applicable law.
